Introduction

These Terms of Service ("Terms") govern your access to and use of Prompt Repo ("we," "our," or "us"), a SaaS platform for developing, testing, and iterating on AI prompts. By accessing or using our service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

Service Description

Prompt Repo provides a platform that enables users to:

• Create, manage, and version AI prompts
• Test prompts against multiple LLM providers via OpenRouter
• Run experiments and A/B tests on prompt variations
• Collaborate with team members on prompts and experiments
• Track prompt performance, costs, and usage metrics
• Manage API keys securely for LLM access

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

Account Registration

Eligibility

You must be at least 18 years old to use Prompt Repo. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• All information you provide is accurate and current
• You will maintain the security of your account credentials

Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your API keys are kept secure

Subscription Plans

Free Plan

The Free plan includes:

• Up to 5 prompts
• Full version history for all prompts
• Testing with your own OpenRouter API key
• Prompt variants and comparison features
• No team collaboration features

The Free plan is available at no cost and does not require a payment method.

Pro Plan

The Pro plan includes all Free plan features plus:

• Unlimited prompts
• Full team collaboration features
• Unlimited team members
• Team API key management
• Advanced experiment features

Pricing: €7.99 per month, billed monthly in advance.

Free Trial

New users are eligible for a 14-day free trial of the Pro plan. The trial:

• Begins when you sign up for a Pro subscription
• Provides full Pro plan features during the trial period
• Requires a valid payment method to start
• Automatically converts to a paid subscription after 14 days unless cancelled
• Is available only once per user

Plan Changes

You may upgrade from Free to Pro at any time. Plan changes take effect immediately. When upgrading, you will be charged the Pro plan price, and any remaining trial period will be forfeited.

Payment Terms

Billing

Payment processing is handled by Stripe, our third-party payment processor. By subscribing to the Pro plan, you agree to:

• Pay the subscription fee in advance on a monthly basis
• Provide accurate billing information
• Authorize Stripe to charge your payment method
• Keep your payment information up to date

Currency: All prices are in EUR (€). Prices may be subject to applicable taxes based on your location.

Refund Policy

We offer refunds under the following circumstances:

• 14-Day Money-Back Guarantee: If you cancel within 14 days of your initial Pro plan subscription (after the free trial), you may request a full refund.
• Service Issues: If the service is unavailable for more than 48 consecutive hours due to our fault, we will provide a prorated refund for the affected period.
• Duplicate Charges: We will refund any duplicate or erroneous charges.

Refund requests must be submitted within 30 days of the charge. Refunds will be processed to the original payment method within 5-10 business days.

Failed Payments

If a payment fails:

• We will attempt to charge your payment method again
• You will be notified of the failed payment
• Your subscription may be suspended until payment is successful
• After multiple failed attempts, your subscription may be cancelled

Cancellation and Termination

Cancelling Your Subscription

You may cancel your Pro subscription at any time through:

• Your account settings in the Billing section
• The Stripe Customer Portal (accessible from your billing settings)
• Contacting our support team

When you cancel:

• Your subscription will remain active until the end of the current billing period
• You will continue to have access to Pro features until the period ends
• No further charges will be made
• Your account will automatically downgrade to the Free plan after the period ends

Account Deletion

You may delete your account at any time through your account settings. Account deletion:

• Requires cancellation of any active subscription first
• Performs a "soft delete" - your account is marked as deleted but may be reactivated
• Removes your encrypted API keys
• Prevents you from logging in
• May retain your prompts and data for team collaboration purposes

You can reactivate a deleted account by logging in again, but you will need to re-add your API keys and resubscribe if desired.

Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent or illegal activities
• You fail to pay subscription fees
• We are required to do so by law

Acceptable Use Policy

You agree not to:

Prohibited Activities

• Use the service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the service or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated systems (bots, scrapers) to access the service without permission
• Reverse engineer, decompile, or disassemble any part of the service
• Share your account credentials with others
• Use the service to generate harmful, abusive, or illegal content
• Violate any third-party rights, including intellectual property rights

Content Restrictions

You are responsible for all content you create, upload, or share through the service. You agree not to create or share content that:

• Is illegal, harmful, threatening, or abusive
• Violates privacy rights or contains personal information without consent
• Infringes on intellectual property rights
• Contains malware, viruses, or malicious code
• Is designed to deceive or mislead

API Usage

When using your OpenRouter API keys or team API keys:

• You are responsible for all costs incurred through API usage
• You must comply with OpenRouter's terms of service
• You must comply with the terms of service of underlying LLM providers
• We are not responsible for API rate limits or service disruptions from third-party providers

Team Collaboration

When collaborating in teams:

• Team owners are responsible for managing team members and permissions
• All team members must have valid accounts
• Team content is accessible to all team members
• You should only share API keys with team members you trust

User Content and Intellectual Property

Your Content

You retain all ownership rights to the prompts, content, and data you create using Prompt Repo. By using the service, you grant us a limited license to:

• Store, process, and display your content as necessary to provide the service
• Create backups of your content
• Share your content with team members as you designate

Our Intellectual Property

The Prompt Repo service, including its design, features, and functionality, is owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the service
• Use our trademarks or logos without permission
• Remove or alter any copyright notices

Third-Party Content

LLM responses generated through the service may be subject to the intellectual property rights of the LLM providers. You are responsible for ensuring your use of such content complies with applicable laws and the terms of service of the LLM providers.

Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free service
• Specific uptime percentages
• That the service will meet your specific requirements

Maintenance

We may perform scheduled or emergency maintenance that may temporarily interrupt service. We will attempt to provide advance notice of scheduled maintenance when possible.

Service Modifications

We reserve the right to modify, update, or discontinue features of the service at any time. We will provide reasonable notice of significant changes that may affect your use of the service.

Limitation of Liability

Service Provided "As Is"

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

Liability Limitations

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for any loss of data, profits, or business opportunities
• We are not liable for any issues arising from third-party services (OpenRouter, LLM providers, etc.)

Third-Party Services

We use third-party services (WorkOS, Stripe, OpenRouter, Neon) to provide our service. We are not responsible for:

• Service disruptions or failures of third-party providers
• Data breaches or security incidents at third-party providers
• Changes to third-party services that affect our service
• Costs or fees charged by third-party providers

Indemnification

You agree to indemnify, defend, and hold harmless Prompt Repo, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, upload, or share through the service

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of Germany.

Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes (if you have provided an email address)

Your continued use of the service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service and cancel your subscription.
